Terms and Conditions

These Terms and Conditions (hereinafter referred to as the “Terms”) govern your access to and use of the promogenai.com website and all services, software, platforms, applications, and digital tools (collectively, the “Services”) made available by Muhammad Mobeen, operating as PromoGenAI (“we”, “our", or “us”).


By creating an account, accessing, or using our Services, you agree to be bound by these Terms and to comply with all applicable laws and regulations. If you do not agree with any part of these Terms, you must not access or use our Services.


1. Nature of Services and Legal Disclaimer

PromoGenAI is a revolutionary SaaS platform that empowers users to instantly create engaging, AI-generated UGC-style video content using proprietary machine learning and generative AI technology.

You acknowledge and agree that all content, video, data, or media generated through PromoGenAI’s platform (“Generated Content”) is the result of automated, machine-generated processes. You bear full legal and ethical responsibility for your use of the platform and the content you create. This includes ensuring strict compliance with all local laws, data protection laws, intellectual property laws, industry regulations, and platform-specific advertising and publishing guidelines for any platform where you use the Generated Content.

PromoGenAI makes no representations or warranties regarding the accuracy, appropriateness, suitability, or reliability of content generated by its AI systems. We are not responsible or liable for the way in which any user chooses to use, publish, interpret, rely upon, or distribute outputs derived from our Services.


2. User Eligibility and Account Responsibility

To use the Services, you must be at least of minimum age required in your country to provide legal consent. If you are under the age of 18, your use of the Services must be supervised and approved by a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

When registering for a PromoGenAI account, you agree to provide true, accurate, current, and complete information. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You must not share your credentials or provide access to your account to any third party. If you create an account on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.


3. Licensing, Subscriptions, and Credits

All access to and use of AI-generated content is subject to a valid and active subscription or the possession of credits purchased through our authorized resellers i.e, Paddle. All rights, title, and interest in and to any Generated Content, including video outputs, created by you using our services shall belong exclusively to you. Upon the expiration, cancellation, or suspension of a subscription, or when your credit balance is zero, your access to the service may be limited, but your ownership of previously generated content remains unaffected.


4. Prohibited Uses

You agree to use the Services solely for lawful and authorized purposes. You are strictly prohibited from using the Services to create, promote, or disseminate any content that:

  • Is pornographic, sexually explicit, or of a sexual nature.
  • Promotes gambling, betting, lotteries, or games of chance.
  • Is related to the distribution, marketing, or sale of illegal drugs or controlled substances.
  • Constitutes or promotes scams, pyramid schemes, Ponzi operations, or fraudulent practices.
  • Is illegal, harmful, defamatory, obscene, harassing, abusive, or threatening.
  • Misrepresents AI-generated output as being authored by a specific human or deceptively conceals its automated origin.
  • Infringes upon or violates copyright, trademark, privacy, or publicity rights of any third party.
  • Contains viruses, malicious code, or other harmful components.
  • Attempts to bypass any limitations or usage restrictions imposed by our platform.
  • Attempts to reverse engineer, decompile, copy, sublicense, or distribute our software, AI models, or systems.

Violations of this section may result in the immediate termination of your access to the Services, reporting to appropriate authorities, and potential legal action.


5. Ownership of Content and Intellectual Property

  • As between you and PromoGenAI, you retain full ownership of the scripts and any other content you provide as input to the platform (“Input”). You grant PromoGenAI a limited, non-exclusive, royalty-free license to use your Input solely to provide and improve the Services.
  • Subject to your compliance with these Terms and applicable law, PromoGenAI assigns to you any rights it may have in the resulting AI-generated video output (“Output”). However, due to the nature of AI systems, similar or identical Output may be generated for other users. No guarantee of uniqueness is made or implied. You are responsible for ensuring your use of the Output does not infringe on any third-party rights.
  • All other intellectual property rights, including the underlying AI models, source code, software, data, documentation, and the PromoGenAI brand and its assets, remain the exclusive property of PromoGenAI.

6. Billing, Payments, and Subscription Terms

  • Merchant of Record: All purchases of subscriptions and credits for the PromoGenAI Services are handled by our authorized merchant of record and reseller, Paddle.com Market Limited ("Paddle"). Your purchase is subject to Paddle's Terms and Conditions, which will be presented to you at the time of purchase.
  • Billing and Payments: As Paddle is our reseller, they will process your payment, manage your subscription, and handle all billing-related inquiries. By providing a payment method, you are authorizing Paddle to charge it for your chosen subscription plan (including any recurring fees) or credit purchase. All payment information is provided directly to Paddle and is subject to their privacy policy.
  • Credits: The Services may operate on a credit-based system. The number of credits required per video is specified on the platform. Credits are tied to your subscription or purchased as a top-up and are subject to the validity periods stated in your plan. All credit purchases are final and handled by Paddle.
  • Pricing: Prices for the Services are listed on our website. We reserve the right to change our pricing for new subscriptions or credit packages at any time. For existing subscriptions, you will be notified in advance of any price changes in accordance with Paddle's subscription management policies.
  • Refunds: All refund requests are handled directly by our merchant of record, Paddle, and are subject to their refund policy and applicable consumer protection laws. If you believe you are entitled to a refund, you must contact Paddle's support team. PromoGenAI does not directly process or issue refunds.
  • Payment Disputes and Failures: In the event of a payment failure, chargeback, or billing dispute, Paddle will manage the situation. Such events may lead to the immediate suspension or termination of your access to the Services until the issue is resolved.

7. Service Availability and Termination

PromoGenAI reserves the right to modify, suspend, or terminate the Services at any time. If we permanently discontinue the service, users with active, prepaid subscriptions or valid credits may be offered a pro-rated refund where required by law.

We may terminate or suspend your account and access to the Services at our sole discretion, without notice, if we believe you have violated these Terms, misused the platform, or created undue legal, reputational, or technical risk.


8. Disclaimer of Warranties and Limitation of Liability

The Services are provided on an “AS-IS” and “AS-AVAILABLE” basis. To the fullest extent permitted by law, PromoGenAI disclaims all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no guarantees regarding the accuracy, completeness, or usefulness of AI-generated outputs.

PromoGenAI shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of data, loss of revenue, business interruption, or reputational harm arising out of your use of the Services.


9. Indemnification

You agree to indemnify, defend, and hold harmless PromoGenAI, its affiliates, employees, and directors from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Services, your Input, your use of any Generated Content, your breach of these Terms, or your violation of any law or the rights of a third party.


10. Copyright and Content Takedown Policy

If you believe that your intellectual property has been infringed by any content on our platform, please notify us at [email protected] with a description of the copyrighted work and information sufficient to locate the infringing material. We will review and respond to all legitimate takedown requests in accordance with applicable law.
